We are not a government agency. We are not affiliated with, endorsed by, approved by or under contract with any Secretary of State, Division of Corporations, state or federal agency, or any other governmental entity. This offer is not being made by or on behalf of any government agency, and the services offered have not been approved or endorsed by any governmental agency. You are not required to purchase anything from us, and you are not obligated to use our service to meet any state filing requirement. The filings we prepare are available directly from your state free of charge or for a lesser price, and you may file directly with your state's filing office yourself and pay only the state fee. Fees paid to us for our Services are not government fees, except for any state filing fee that we itemize separately and pay to the state on your behalf, without markup. Additional notices required by particular states appear on each state's page and order form.
Use of Content; Agreement
These Terms and Conditions apply to all visitors to our Website. By using our Services or accessing our Website, you acknowledge that you have read and understood these Terms and agree to be legally bound by them.

Our Services
Our Services consist of preparing and submitting business entity filings, such as annual reports and renewals, with the applicable state agency on your behalf, based on the information you provide. Unless otherwise stated at checkout, we process filings during business hours, Monday through Friday, 9:00 AM to 5:00 PM Eastern Time, and deliver confirmation of the filing by email in PDF format within 3 business days of order confirmation. Some states have their own processing times and requirements.
We will take all reasonable steps to file accurately and within any required deadline. We do not guarantee that a state agency will accept a filing, and we are not liable for delays, rejections or penalties that result from inaccurate or incomplete information you provide or from actions of the state agency.
We are not responsible for advising or reminding you of any requirement or obligation, including any other state or federal filings, annual reports, taxes or licenses. Our sole responsibility is the preparation and submission of the filing you order. Maintaining your business entity in good standing remains your responsibility.
We use each state's own name for its filing (for example, "Business Entity Report" or "Annual List"). A reference in these Terms to an "annual report" includes each state's equivalent filing.
Accuracy of Information; Authority; Identity Verification
You are responsible for the spelling and accuracy of all information you submit, and you confirm that it is exactly as you want it filed. You confirm that you are authorized to place the order on behalf of the business entity. If an agent (such as an employee, attorney or accountant) purchases our Services for you, you are bound by these Terms as the principal. Where a state requires it, or where we consider it necessary, we will verify your identity and your authority to act for the entity before submitting a filing, keep a record of that verification, and provide it to the state on request. We may decline or delay a filing until verification is complete.
Orders and Payment
When you submit an order and we accept it, you agree to pay the total price shown at checkout. The total is itemized as the state filing fee, which we pay to the state on your behalf at the amount the state charges, and our service fee. We do not mark up state fees. You authorize us and our payment processors to charge your payment method for that total. The charge on your card statement will appear as "National Filing Corporation," "VYA*NATIONAL FILING CORPORATION" or "Nfilingcorp7864752846."
If you have a question about a charge, you agree to contact us at info@nationalfilingcorporation.com before disputing it with your card issuer, so that we can resolve it under our Refund and Cancellation Policy. If you dispute a charge for Services that were performed, we may provide the card issuer with your order record, these Terms, your checkout authorization and the state's filing confirmation.
Refunds and Cancellations
Refunds and cancellations are governed by our Refund and Cancellation Policy, which is incorporated into these Terms.
Not a Law Firm; No Legal Advice
NFC is a document preparation and filing service. We are not a law firm, and we do not provide legal, tax, accounting or financial advice. No attorney-client or other special relationship exists between you and NFC. When using our Services you are representing yourself. If you need legal or professional advice, consult a licensed attorney or accountant in your jurisdiction.
Intellectual Property Rights
This Website and its contents are protected by copyright, trademark and other laws of the United States and/or foreign countries ("Intellectual Property"). Except as expressly provided in these Terms or as expressly authorized in writing, you shall not use our Intellectual Property, including in any press release, advertisement or other promotional or marketing material or media, whether in written, oral, electronic, visual or any other form.

Affiliate Billing
During the course of the Services, an affiliate or subsidiary of NFC may bill you directly for certain services, in accordance with the agreed pricing. We will notify you in advance if any portion of the Services will be billed by an affiliate. These Terms, including the refund policy, liability limitations and indemnification, apply equally to any affiliate or subsidiary providing Services on our behalf.
Data Security
We use industry-standard measures to protect your information. No system is entirely immune to cyber threats, however. To the fullest extent permitted by law, we are not liable for unauthorized access to your data or resulting damages, unless caused by our gross negligence or intentional misconduct. If a data breach occurs, we will take steps to mitigate its impact and notify you as required by applicable law.
Indemnification
You agree to indemnify, defend and hold harmless NFC and its subsidiaries, affiliates, officers, directors, employees, agents and partners from any and all claims, liabilities, damages, losses, costs, expenses or fees (including reasonable attorneys' fees) arising from your (or anyone using your account's) violation of these Terms, inaccurate information you provide, or any fraudulent use of the Services.
Right of Refusal; Termination
We may refuse to provide Services, or terminate your access to the Website or Services, at our sole discretion and without notice, including if we determine that you have violated these Terms or engaged in fraudulent activity. We are not liable for any loss resulting from such refusal or termination.
Email and Electronic Communications
You consent to receive communications from us electronically. Transmission of information by email is at your own risk. We do not currently send text messages. We reserve the right to offer them in the future, only to customers who give separate consent.
Force Majeure
We are not liable for any failure to perform caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities (including state agency system outages or closures), fire, floods, accidents, network infrastructure failures, strikes, or shortages of labor or materials.
Additional Terms
If any portion of these Terms and Conditions is invalid or unenforceable in any jurisdiction, then (i) in that jurisdiction it shall be re-construed to the maximum effect permitted by law in order to effect its intent as nearly as possible, and the remainder of these Terms and Conditions shall remain in full force and effect, and (ii) in every other jurisdiction, all of these Terms and Conditions shall remain in full force and effect.
No waiver of any term is effective unless in writing. A waiver of one breach is not a waiver of any other breach.
We may revise these Terms and Conditions at any time in our sole discretion by posting the revised Terms and Conditions at the Terms and Conditions link (i.e., this webpage) or elsewhere on this Website. Such revisions shall be effective as to you upon posting, unless explicitly stated otherwise by us. These Terms, together with the policies they incorporate and the terms you accept at checkout, are the entire agreement between you and NFC regarding the Services and supersede any prior versions.
These Terms shall be governed in all respects by the laws of the State of Florida without giving effect to its conflicts of law provisions. Both parties submit to the personal jurisdiction of and venue in the state and federal courts in the State of Florida, in the judicial district that includes Miami-Dade County, Florida. The parties further agree that any cause of action arising under these Terms shall exclusively be brought in such courts.
